1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the Melxis service ("Service") operated by Autor LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
Melxis is an information management service that allows you to store, organize, retrieve, and connect Mels, Hives, and Tasks through the Model Context Protocol (MCP) and a web interface. Depending on your subscription plan, the Service may include Apis or AI-assisted organization and linking features.
3. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.
If we become aware that you are under 16 years of age, we will suspend the account and promptly delete the associated personal data.
The Service is not currently offered to users located in the European Economic Area (EEA), the United Kingdom, or Switzerland. Users residing in these regions are requested not to use the Service.
4. Accounts
4.1 Registration
You must create an account to use the Service. You agree to provide accurate and complete information during registration and to keep your account credentials secure.
4.2 Account Security
You are responsible for managing activity under your account. If you believe your account may have been compromised, please contact support@melxis.com promptly.
5. Subscription Plans and Payment
5.1 Plans
The Service is offered under multiple subscription plans with varying features and limits as described on our pricing page or sign-up screen.
5.2 Payment
Paid subscriptions are billed monthly via Stripe. By subscribing to a paid plan, you authorize recurring monthly charges to your payment method.
5.3 Price Changes
We may change subscription prices with at least 30 days' notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.
5.4 Cancellation
You may cancel your subscription at any time through the billing management screen. Cancellation takes effect at the end of the current billing period. Prorated refunds are not provided for partial months.
5.5 Free Plan
The Free plan is provided at no cost and may be modified or discontinued at our discretion with reasonable notice.
6. Your Content
6.1 Ownership
You retain all rights to the content you store in the Service ("Your Content"). We do not claim ownership of Your Content.
6.2 License to Us
By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing, maintaining, and enhancing the Service. This includes processing for Apis or AI-assisted organization and linking features if enabled under your plan.
6.3 Responsibility
You are responsible for Your Content. You must not store content that is illegal, infringing, or in violation of third-party rights.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to gain unauthorized access to the Service or its systems.
- Interfere with or disrupt the Service or its systems.
- Use the Service to store or transmit malicious code.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or redistribute access to the Service without our written permission.
- Accessing the Service in a manner intended to circumvent rate limits or to exceed our usage limits (including improper use of multiple accounts or sharing of credentials).
8. Apis and AI Processing
8.1 Apis or AI-Assisted Organization
Plans that include Apis or AI-assisted organization features may use AI models to organize, summarize, tag, and connect your saved content and related metadata. This processing may create or update content or metadata such as summaries, tags, links between Mels, and relationships with Tasks.
8.2 No AI Training
Your Content is not used to train third-party AI models. AI processing is performed solely to provide the Service to you.
8.3 Review of AI Outputs
Outputs from Apis or AI processing (including summaries, tags, and connections) are provided on a best-effort basis. AI-generated content may not always be accurate, complete, or fit for a particular purpose. Please review content created or updated by AI processing before relying on it.
8.4 Reversibility
Content modified by you or by Apis / AI processing (including link relations) can be restored through our built-in history feature (Web interface) for 3 days. For restoration of changes beyond this period, we will respond to individual requests to the extent technically feasible (please contact support@melxis.com).
9. Intellectual Property
9.1 Our Property
The Service, including its design, code, documentation, logos, and brand elements, is the intellectual property of Autor LLC. You may not copy, modify, or create derivative works of the Service.
9.2 Feedback
If you provide feedback or suggestions about the Service, we may use them without obligation to you.
10. Availability and Support
10.1 Availability
We aim to provide the Service reliably. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Support
Support is provided via email at support@melxis.com. Response times may vary by plan.
11. Limitation of Liability
To the extent permitted by applicable law, the following terms apply:
- The Service is provided based on the functionality available at the time of use.
- For damages arising from our slight negligence, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities.
- For damages arising from our slight negligence, our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
- The limitations set forth in the preceding items do not apply to damages arising from our willful misconduct or gross negligence.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for fraud or death/personal injury caused by negligence).
11A. No Backup Obligation
We handle data to the extent ordinarily required to provide the Service. We recommend keeping your own copy of any content that is important to you.
11B. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including natural disasters, legal or governmental measures, communications failures, failures of third-party services, or similar events.
11C. Service Discontinuation
We may need to discontinue the Service in whole or in part. In such an event, we will provide at least 90 days' prior notice and make commercially reasonable efforts to allow you to export Your Content before the Service is discontinued.
12. Indemnification
If you use the Service as a business entity, you agree to indemnify and hold harmless Autor LLC and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.
If you use the Service as a consumer, the preceding paragraph does not apply. However, if you cause damage to us, our officers, directors, or employees through your willful misconduct or gross negligence, you shall compensate for such damage in accordance with applicable law.
13. Termination
13.1 By You
You may request account termination at any time by contacting support@melxis.com.
13.2 By Us
We may suspend or terminate your account if you violate these Terms, with notice where reasonably practicable.
13.3 Effect of Termination
When account termination is processed, your right to use the Service ends. If you would like to terminate your account, export data, or delete Your Content, contact support@melxis.com. Upon verification of your identity, we will respond in accordance with applicable law (including APPI and GDPR) and our Privacy Policy, generally free of charge and within 30 days of receiving your request.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any dispute arising from or in connection with these Terms shall be subject to the jurisdiction of the Tokyo District Court as the court of first instance. However, if you are a consumer under Japan's Consumer Contract Act, the district court for the area where you reside shall also have jurisdiction as a court of first instance, to the extent permitted by the Consumer Contract Act and other mandatory laws.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Autor LLC regarding the Service.
